MEET WITH BALLISTA

The Scope Of Our Work:
We design, develop, and provide original digital materials, brand development, e-commerce development, story based marketing, programming, marketing and promotional services for our clients.

Services May Include, But Are Not Limited To:
Marketing, lead generation & tracking, lead flow consulting, Google Ads administration, website design and layout development, billboard administration, production of radio promotions, Broadcast TV commercial production, media management, programming and configuration, content writing and editing, graphic design and artwork, photography or visual media production, video productions for YouTube commercials, search engine optimization preparation, and website deployment and configuration.

Digital Media And Programming Creation License:
The client can use the digital media content and graphics on the original project it was created for, but they do not own those materials and cannot transfer or reuse them with another developer without permission from us.

Client License

The client is granted a non-exclusive, non-transferable, limited license to use the Digital Materials and Programming we create, and they are to be used solely for the purpose for which they were created.

Nothing we produce for our clients shall be interpreted as a “work for hire” transfer of intellectual property unless explicitly stated in writing and signed by both parties.

Intellectual Property Ownership

All materials created, authored, designed, programmed, or produced by the Developer in connection with the client project shall remain the intellectual property of the Developer unless otherwise expressly agreed to in writing.
Such materials include, but are not limited to:
Written content Graphics and artwork Photographs and visual media Website code and programming Scripts and templates Databases and technical configuration Page structures and navigation frameworks User interface architecture Styling and layout systems Overall visual design and website composition
These materials are collectively referred to as “Digital Materials.”
The Client is granted a non-exclusive, non-transferable, limited license to use the Digital Materials solely for the operation and display of the specific development for which they were intended. Nothing in this Agreement shall be interpreted as a work-for-hire transfer of intellectual property unless expressly agreed to in writing.
Content
All written materials created by the Developer including articles, page text, blog posts, descriptions, and other textual content remain the intellectual property of the Developer. The Client may use such materials solely on the website developed under this Agreement unless additional written permission is granted by the Developer.
Artwork and Media
All graphics, photographs, illustrations, design elements, and other visual assets created by the Developer remain the intellectual property of the Developer. These materials may not be reproduced, reused, republished, or distributed outside the authorized website without prior written consent from the Developer.
Website Code and Technical Assets
All programming code, scripts, templates, databases, integrations, and configurations developed for the website (“Technical Assets”) remain the intellectual property of the Developer. The Client is granted a limited license to use these Technical Assets solely for the operation of the authorized website. The Client may not transfer, reproduce, distribute, or provide these Technical Assets to third-party developers, marketing agencies, or service providers without prior written consent from the Developer.
Website Design and User Interface
The visual design, layout structure, user interface architecture, navigation framework, styling, page composition, and overall look and feel of the website constitute proprietary intellectual property of the Developer.
The Client and any third party are prohibited from copying, replicating, reverse engineering, or recreating the website design in whole or in part without the Developer’s prior written consent.
License Restrictions
The Client may not reproduce, distribute, publish, sell, or repurpose the Website Materials outside the authorized website without prior written approval from the Developer. Use of the Website Materials on additional websites or marketing platforms requires written licensing approval.
Crediting the Developer
The Client agrees to provide appropriate credit to the Developer where applicable. This may include a visible credit line or link acknowledging the Developer’s work on the website unless otherwise agreed.
Third-Party Developer or Marketing Agency Engagement
If the Client engages a third-party marketing agency, developer, SEO firm, or service provider to modify, manage, or replace the website, the following conditions shall apply: Engagement of a third party shall not transfer ownership of the Website Materials to that party. The Developer is not obligated to provide proprietary files, source code, design assets, development environments, or technical documentation unless otherwise agreed in writing. Any transition assistance, consultation, documentation, or coordination with third parties shall be considered additional consulting services billed at the Developer’s prevailing hourly rate. Third-party agencies may not copy, replicate, reverse engineer, or recreate the website using the Developer’s proprietary Website Materials without written authorization.
Modification by Third Parties
Once a third-party developer or agency modifies the website, hosting environment, codebase, or content structure, the Developer shall no longer be responsible for the website’s:
Functionality Security Performance Search engine rankings Operational stability
Website Replication or Rebuild
If the Client or a third party intends to rebuild, migrate, or replicate the website in whole or in part, use of any Website Materials created by the Developer requires prior written licensing approval.
Hosting and Domain Control
Unless otherwise agreed in writing, the Developer shall maintain administrative control over website hosting environments, server configurations, and related technical infrastructure used for the operation of the website. If the Client elects to migrate the website to a different hosting provider or environment, the Developer shall not be responsible for any resulting:
Data loss Website malfunction Security vulnerabilities SEO ranking changes Operational disruptions
Transition services required for migration shall be billed separately.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during the course of the project and shall not disclose such information to third parties without consent.
